SALEANDPURCHASEAGREEMENTFORGOLDDUSTCIFDELIVERY
BETWEEN
Seller 賣(mài)方：
AND
Buyer 買(mǎi)方：
WHEREAS:SellerhasavailableforsaleofGoldDust,hereinaftercollectivelyreferredtoas“Gold”.
鑒于：賣(mài)方能提供黃金的銷(xiāo)售，在下文中全部稱(chēng)為：黃金
WHEREAS:BuyerwishestopurchaseSeller"sGoldoveranagreedupontimeperiod.
鑒于：買(mǎi)方同意在有效時(shí)期內按協(xié)議采購賣(mài)方的黃金
NOWTHEREFORE:ThePartiesagreetotheTermsandConditionsasfollows:
在此：雙方同意以下的合同條款
SCOPEOFTHECONTRACT:合同適用范圍：
a)TheSeller,underfullauthorityandresponsibility,declarestha thehasthecapabilityandunrestrictedrighttoselltheGoldandguaranteesthatheiscapabletolegallyexporttheGoldDust.
賣(mài)方在完全權利和責任下，聲明其有能力和自由權利去銷(xiāo)售黃金及保證是合法出售。
Sellermustpaythefulloflocaltaxes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforigintobuyerdesignatedairport.
賣(mài)方必須全額支付當地稅費，關(guān)稅，保險，檢驗，政府費用，從當地到機場(chǎng)運費，機場(chǎng)到最終買(mǎi)方目的地機場(chǎng)運費。
Afterthegoldisdeliveredtobuyerdesignatedairport,SellerRepresentativeorShippingAgentmustallowthebuyertoseeandinspectthewholequantityoftheproductinperson.SellerRepresentativeorShippingAgentisnotallowedtoaskforrandomsamplefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100%atagobyswifttransferaftersatisfactoryfinalassayreportforthewholequantityinbuyerselectedrefinery.
當黃金運送到達買(mǎi)方目的地機場(chǎng)，賣(mài)方代表人或運輸代理必須同意讓買(mǎi)方親自看和檢測全部的數量。賣(mài)方代表人或運輸代理不能收取隨機抽樣費或者外交費或者安全保管費或者倉庫發(fā)放費等等，100% 的貨款必須在買(mǎi)方的精煉廠(chǎng)對全部數量做出最終的滿(mǎn)意報告后進(jìn)行電匯。
b)TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilitytopurchasetheun-refinedgoldandsuchpurchasewillbeincreasedwithoptionsofannualextensions.
買(mǎi)方在完全法人權利和責任下聲明其和其合作伙伴完全由能力去采購未提煉的黃金及今后將會(huì )增加年度采購量。
AnyexcuseofdelayedorpartialpaymentisnotaeptedafterfinalassayandthevalueaeptedbybothBuyerandSeller.
當雙方接受最終的檢驗報告和接受其價(jià)值后，任何的延遲或部分付款理由都不再接受。
c)Shouldanyirregularitiesduringthecourseofthisexerciseisexecuteddetailsshallbenotifiedtotherelevantauthoritieswhichwillbefollowedupbyaruthlesspursuitforbreachofcontract.
如果在履行條款的過(guò)程當中，發(fā)生任何不法行為的將會(huì )報告給監管當局進(jìn)行違約合同的無(wú)情控訴

SelleragreestosellanddelivertotheBuyerundertheTermsofthisAgreementaspotquantityof500KG.The100KGcanbedeliveredontranchesof100KG.Ifrequestedbytherefinerybaseddailycapacity.AndtrancheswillbedeterminedbyorBuyer.
賣(mài)方同意按照本協(xié)議的現貨 500KG 銷(xiāo)售和交貨，100KG 可以作為一部分交貨，如果基于精煉廠(chǎng)每日產(chǎn)能，數量可由買(mǎi)方?jīng)Q定。

這個(gè)價(jià)格是買(mǎi)方向賣(mài)方應付的固定價(jià)格 USDXXXXXKG，CIF
b)Referencedfundsinthisagreementtobewired,isinUnitedStatesCurrencyonly.
本協(xié)議的參考價(jià)格將是美元轉帳
DELIVERYTERMS:交貨條款
a)ThedeliverytermsforthisS.P.A.agreementshallbeonaCIFbasis(byAir-cargo)totheBuyer"sdesignatedairport()
本協(xié)議的交貨條款為 CIF(空運)到買(mǎi)方目的地機場(chǎng)
b)TheSellerwillpayalltaxes,duties,insurance,etc,inthecountryoforigin.
賣(mài)方將在原產(chǎn)國支付全部的稅費，關(guān)稅，保險等
b)TheSellerwillbeartheshippingcostfromthedeparturepoint(Ara,Ghana)totheBuyer"sdesignateddestinationairport().
賣(mài)方將要承擔從出發(fā)站阿克拉到買(mǎi)方目的地機場(chǎng)運費
c)TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyer"sdesignatedairport()undertheSeller"snamebutattheBuyer"sCosttotheBuyer"sdesignatedrefinery.
買(mǎi)方將在進(jìn)口港通過(guò)海關(guān)進(jìn)行黃金的清關(guān)
e)TheBuyerwillbephysicallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywaspletedtotherefinery.BuyerwillnotifytheSellerofsuessfulpletionofeventsinwrittenform.
買(mǎi)方將要在進(jìn)口海關(guān)確保整個(gè)流程是按照實(shí)際的完整交貨到精煉廠(chǎng)，買(mǎi)方要以書(shū)面形式通知賣(mài)方事情已成功辦理完成了。
f)LegalOwnershipofGoldDustisretainedbytheSelleruntilthepaymentinfullisreceivedbySeller"sbankfromtheBuyer.
黃金的法定所有權保留在賣(mài)方手里直到收到買(mǎi)方的所有貨款。
PAYMENTTERMS:付款方式：
FinalpaymentfortheGoldshallbemadebyWireTransfertotheSeller"sdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNoticewillserveaspartofthecontractandhasthesamelegaleffect.
在收到精煉廠(chǎng)的檢驗報告的 48 小時(shí)內，最終的貨款將通過(guò)轉賬到賣(mài)方指定的銀行賬戶(hù)，付款通知將視為合同的一部分及擁有相等的法律效力
PROCEDURE:程序：
1.BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.
買(mǎi)方簽了這個(gè)協(xié)議并通過(guò)郵件發(fā)給賣(mài)方簽名。
2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAssayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.
買(mǎi)方要通知其銀行發(fā)出 MT799 的電文做資金支付能力證明以便驗貨認可后能電匯給賣(mài)方銀行的對雙方的保證。
3.UponreceiptofconfirmationslipofthebankMT799bySeller"snominatedbankSellermencepackagingofthesaidquantityanddeliv ertothechoiceofRefineryoftheBuyerforfinalAssaytonecessitateout-rightfullpayment
一旦賣(mài)方指定銀行收到 MT799 電文的確認書(shū)，將會(huì )著(zhù)手包裝所說(shuō)的數量和交貨到買(mǎi)方選擇的精煉廠(chǎng)做最后的檢驗以便全款的順利支付
4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyer"sdestination().
在接到銀行 MT799 的確認電文 10 天內，賣(mài)方將動(dòng)身去買(mǎi)方的目的地
5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.
買(mǎi)方必須親自進(jìn)行整批貨數量的檢驗和確認
6.AssaywillbeconductedatBuyers" aountatthepresenceofbothbuyerandSellerinBuyer"schoiceofrefineryin
當買(mǎi)方和賣(mài)方現場(chǎng)在買(mǎi)方指定的精煉廠(chǎng)時(shí)，檢驗費將由買(mǎi)方賬號扣除
7.PaymentwillbefacilitatedbyanAuthorityInvoicefromtheSeller.
付款將按照由賣(mài)方出具的一份權威發(fā)票進(jìn)行。
8.PaymentbytheBuyershallbemadetotheSeller"sdesignatedBankwithin5daysafterreceiptoffinalassayreportfromtherefineryanditsvaluewillbeaeptedbybothBuyerandSeller.
在接收到由買(mǎi)方指定的精煉廠(chǎng)發(fā)出的雙方都接受的最后檢驗報告的 5 天內買(mǎi)方要付款給賣(mài)方指定的銀行。

a)TwooriginalsofCommercialInvoicesinfavouroftheBuyer
2 份買(mǎi)方贊同的正式的商業(yè)發(fā)票
b)CertificateOfOrigin 原產(chǎn)地證
c)CertificateOfOwnership 所有者證明
d)ExportPermit 出口許可證
e)PackingList 裝箱單
f)OriginalCopyoftheAirwayBill 空運單的復印件
g)CustomsDeclarationForm(s)(suppliedbyBuyer,ifapplicable)
報關(guān)單(如果可能的話(huà)，買(mǎi)方提供)
h)Declarationthatthegoldisfreeandclearandofnon-criminalorigin,unencumberedandfreeofanyliens,andistransferableandexportable
聲明這個(gè)黃金沒(méi)有牽連和沒(méi)有犯罪，沒(méi)有阻礙和沒(méi)有扣押權，是可轉讓和出口的。
